Terms of Service

1. Acceptance of Terms

By accessing and using DMV Qube ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

DMV Qube provides inventory management, order processing, and supplier marketplace services to SMEs in Nigeria, including but not limited to:

• Inventory tracking and management
• Order creation and fulfillment
• Supplier discovery and subscription
• Business analytics and reporting
• Cloud synchronization and offline access

3. User Accounts and Registration

3.1 Account Creation

To use DMV Qube, you must:

• Be at least 18 years of age
• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and current
• Maintain the security of your password and account
• Accept full responsibility for all activities under your account

3.2 Account Types

DMV Qube offers three subscription tiers:

• Retailer: ₦17,500/month
• Wholesaler: ₦28,000/month
• Producer: ₦36,000/month

All accounts require a one-time registration fee of ₦23,500.

4. Subscription Terms

4.1 Free Trial

New users receive a 7-day free trial period with full access to all features.

4.2 Payment Terms

• Subscriptions are billed monthly in advance
• Registration fee is due at the end of the trial period
• Payments are non-refundable except as required by law
• Prices may change with 30 days advance notice

4.3 Grace Period

If payment fails, you will receive a 5-day grace period to update payment information before service suspension.

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

5. User Conduct

You agree NOT to:

• Use the service for any unlawful purpose
• Attempt to gain unauthorized access to the service
• Interfere with or disrupt the service
• Upload malicious code or viruses
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Harass, abuse, or harm other users

6. Data and Privacy

6.1 Your Data

You retain all rights to data you input into DMV Qube. We do not claim ownership of your inventory, order, or business data.

6.2 Data Collection

We collect and process data as described in our Privacy Policy, which is incorporated into these Terms by reference.

6.3 Data Security

We implement industry-standard security measures to protect your data, but cannot guarantee absolute security.

6.4 Data Backup

While we maintain regular backups, you are responsible for maintaining your own backup copies of critical business data.

7. Intellectual Property

7.1 Service Ownership

DMV Qube and all related trademarks, service marks, and content are owned by Dsquare Multiconcepts Ventures.

7.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to use the Service for your business purposes.

7.3 Restrictions

You may not:

• Copy, modify, or create derivative works
• Reverse engineer or decompile the software
• Remove proprietary notices
• Use the Service to create a competing product

8. Third-Party Services

DMV Qube integrates with third-party services for:

• Payment processing (Paystack)
• Cloud storage (Supabase)
• Analytics and monitoring

Use of these services is subject to their respective terms and policies.

9. Service Availability

9.1 Uptime

We strive for 99% uptime but do not guarantee uninterrupted service.

9.2 Maintenance

Scheduled maintenance will be announced in advance when possible.

9.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE LAST 12 MONTHS
• WE ARE NOT RESPONSIBLE FOR BUSINESS LOSSES, DATA LOSS, OR LOST PROFITS

11. Indemnification

You agree to indemnify and hold harmless DMV Qube, Dsquare Multiconcepts Ventures, and affiliates from any claims arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

12.2 Arbitration

Disputes shall first be attempted to be resolved through good-faith negotiation. If unsuccessful, disputes may be submitted to binding arbitration in Nigeria.

12.3 No Class Actions

You agree to resolve disputes individually and waive the right to participate in class actions.

13. Term and Termination

13.1 Term

These Terms remain in effect while you use the Service.

13.2 Termination by You

You may terminate by canceling your subscription.

13.3 Termination by Us

We may terminate or suspend your account for:

• Violation of these Terms
• Non-payment
• Fraudulent or illegal activity
• Any reason with 30 days notice

13.4 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• You may request a copy of your data within 30 days
• We may delete your data after 30 days

14. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email and in-app notification. Continued use after changes constitutes acceptance.

15. Multi-User Access

15.1 User Roles

Each business account includes:

• 1 Owner (primary account holder, charged subscription)
• 1 Admin (elevated permissions, not charged)
• 2 Staff (limited permissions, not charged)

15.2 Owner Responsibilities

The Owner is responsible for:

• All subscription payments
• Managing user access and permissions
• Ensuring team compliance with Terms

16. Miscellaneous

16.1 Entire Agreement

These Terms constitute the entire agreement between you and DMV Qube.

16.2 Severability

If any provision is found invalid, the remaining provisions continue in effect.

16.3 No Waiver

Failure to enforce any right does not waive that right.

16.4 Assignment

You may not assign these Terms without our consent. We may assign them without restriction.
